Arizona Publication Requirements

Arizona Publication Requirements

Businesses that list the address of their known place of business as being in the counties below DO NOT have to publish a Notice of LLC Formation.

• Maricopa County
• Pima County

If your principal place of business is in any other county you must publish a Notice of LLC Formation in an approved newspaper.

The Notice of LLC Formation must be:

• Published three times
• Published within 60 days of receiving notice from the Arizona Corporations Commission
• Published in a newspaper approved by the Arizona Corporations Commission

The Notice of LLC Formation must contain the following:

1. The LLC name
2. The name and street address of the statutory agent
3. The address of the LLC principal place of business if different from the street address of statutory agent
4. Either:
   • "Management of the limited liability company is vested in (a) manager/managers"
     -OR-
   • "Management of the limited liability company is reserved to the members."
5. The name and address of either of the following:
   • If management of the limited liability company is vested in a manager or managers, each person who is a manager of the limited liability company and each member who owns, either separately or as a co-owner with others, a 20% or greater interest in the capital or profits of the limited liability company.
   • If management of the limited liability company is reserved to the members, each person who is a member of the limited liability company.

After completing three runs of your Notice of LLC Formation, the newspaper you have chosen will send you and the Arizona Corporations Commission an Affidavit of Publication that acts as proof of your compliance with the law.

You are required to keep your Affidavit of Publication for your records.

Sample Notice of Formation

You will need to send the newspaper you have chosen a copy of your Notice of LLC Formation.

To use a Notice of LLC Formation that complies with all the requirements, you have two options:

1. Fill out the Notice of LLC Formation form that the Arizona Corporations Commission will send after you have filed the Articles of Organization for your business.
2. Use our sample Notice of Formation, which is optimized to use as little space as possible and keep your publication costs low.

Use this format if your LLC is manager-managed

Penalties for Noncompliance

You must comply with the Arizona publication requirement.

If you do not, your LLC will be terminated.

Once the first 60 days you had to comply are up, you will receive a letter from the Arizona Corporations Commission. This letter will let you know that you have 30 days to comply with any and all formation requirements, or your LLC will no longer legally exist.

Most newspapers will charge you per column inch, which means that the longer your publication is, the more it will cost.

We recommend using a newspaper that charges a flat fee if you are going to publish a publication that will be lengthy.
